These Terms & Conditions ("Terms") govern your access to and use of the Jaspari Studies clinical trial patient recruitment platform, including our recruitment pages, intake and eligibility forms, and related scheduling and update pages (collectively, the "Platform"), operated by Jaspari LLC ("Jaspari Studies," "we," "us," or "our"). These Terms are intended for individuals who visit the Platform, submit an intake or eligibility form, or are otherwise referred to or contacted through the Platform in connection with your own potential interest in a clinical trial ("you"). These Terms do not govern a Client organization’s use of the Jaspari Studies portal as a clinic or research site, which is addressed in a separate agreement between Jaspari Studies and that organization.
By accessing or using the Platform, submitting an intake or eligibility form, or otherwise communicating with us through the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. Our Privacy Policy, available at https://jaspari.com/studies/privacy-policy, describes how we collect, use, and disclose your personal information, and is incorporated into these Terms by reference.
1Not Medical Advice; Not Your Healthcare Provider
The Platform is a clinical trial recruitment and matching service. Jaspari Studies is not a healthcare provider, does not practice medicine, and does not provide medical advice, diagnosis, or treatment recommendations. Nothing on the Platform is intended to be, and should not be understood as, a substitute for professional medical advice. You should always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition or before making any decision about your treatment or about participating in a clinical trial. Never disregard professional medical advice or delay seeking it because of something you saw or read on the Platform. If you are experiencing a medical emergency, call your local emergency number immediately; do not use the Platform to seek emergency assistance.
2What the Platform Does; No Guarantee of Match, Contact, or Enrollment
The Platform allows you to submit information about yourself so that we may evaluate your potential eligibility for current or future clinical trials operated by healthcare providers, clinics, or research sites that use the Platform ("Clients"), and, where you appear to match a study’s criteria, to send your information to the applicable Client as a referral. Submitting your information through the Platform does not guarantee that you will be matched to any study, that you will be contacted by Jaspari Studies or any Client, that you will be found eligible for or enrolled in any study, or that any study you are referred to will continue to be available, actively enrolling, or approved by the relevant institutional review board or ethics committee at the time you are referred. Clients independently evaluate and decide whether to contact you and whether you qualify for their study, and Jaspari Studies has no control over, and is not responsible for, those decisions once your information has been referred.
3Eligibility to Use the Platform
The Platform is intended for individuals who are 18 years of age or older, or the age of legal majority in their jurisdiction. You may use the Platform to submit your own information only if you meet this age requirement and have the legal capacity to do so, or, where a specific study is designed for pediatric or other participants who cannot independently consent, only if you are that person’s parent or legal guardian submitting on their behalf and are authorized to do so. Age and capacity requirements may vary by study depending on that study’s own eligibility criteria and applicable law, and a specific study’s requirements will govern where they are more specific than this Section. You represent that any information you submit about yourself, or about another person you are authorized to submit information for, is accurate to the best of your knowledge.
4Your Information; Referring Others
By submitting your information through the Platform, you authorize us to use it to evaluate your potential eligibility for current and future studies and to share it with a Client if you are matched and referred, consistent with our Privacy Policy. If you choose to submit information about another person, such as to refer them as a potential candidate, you represent that you have that person’s consent to provide their information to us for that purpose, and we will obtain that person’s own consent before contacting them, as described in our Privacy Policy. You are responsible for the accuracy and completeness of any information you submit, whether about yourself or about another person, and Jaspari Studies is not responsible for decisions made in reliance on inaccurate or incomplete information you provide.
5Communications; SMS Consent and Opt-Out
By submitting your telephone number through the Platform, you consent to receive text messages from Jaspari Studies at that number regarding your submission, your candidacy for current or future studies, appointment scheduling and reminders where applicable, and related account communications. Message frequency varies depending on your activity and the studies you are matched to. Message and data rates may apply. Consent to receive text messages is not a condition of using the Platform or of consideration for any study.
You may opt out of receiving further text messages at any time by replying to any message we send you with any of the following keywords: STOP, UNSUBSCRIBE, END, QUIT, or CANCEL. Once we receive one of these keywords, we will send you a one-time confirmation that you have been unsubscribed, and we will not send you further messages unless you opt back in as described below. You may opt back in and resume receiving messages by replying with any of the following keywords: START, UNSTOP, YES, or SUBSCRIBE.
In addition to these keywords, we use artificial intelligence and natural language processing as a supplementary layer of review to identify opt-out requests that are not exact keyword matches but that nonetheless clearly express an intent to stop receiving messages, such as "leave me alone," "please do not message me," "stop contacting me," or similar phrasing embedded in a longer reply. This additional review is designed to honor a genuine opt-out request even when it is not phrased as one of the exact keywords above, while avoiding treating an unrelated or ambiguous use of a similar word, such as asking to stop or cancel something else entirely, as a request to stop all texting. If you intend to opt out of text messages, we recommend using one of the exact keywords above to ensure it is processed immediately.
Carriers are not liable for delayed or undelivered messages. By submitting your telephone number, you also consent to receive calls from Jaspari Studies at that number regarding the same subject matter described above. When you register or communicate with us electronically, you are communicating with us electronically and you consent to receive communications from us electronically, including by email and text message; you agree that any agreement, notice, disclosure, or other communication we provide to you electronically satisfies any legal requirement that it be in writing.
6Acceptable Use
You agree to use the Platform only for lawful, personal, non-commercial purposes in connection with your own or another authorized person’s potential participation in a clinical trial. You agree not to:
- provide false or misleading information
- submit another person’s information without the authorization or consent described in Section 4
- attempt to access any part of the Platform not intended for you
- interfere with or disrupt the operation or security of the Platform
- use any automated means to access, scrape, or extract data from the Platform without our prior written consent
- copy, modify, distribute, sell, or create derivative works from any part of the Platform or its content, except as expressly permitted by these Terms
- use the Platform in any way that violates applicable law
7Ownership; Limited License
The Platform, including its design, text, graphics, and other content (collectively, "Content"), is owned by Jaspari LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its Content for your own personal, non-commercial use in connection with evaluating or pursuing your potential participation in a clinical trial. This license does not include any right to resell or make commercial use of the Platform or its Content, to collect or use any listing or description of studies for any commercial purpose, or to use any data mining, extraction, or similar tools on the Platform. All rights not expressly granted to you in these Terms are reserved by Jaspari LLC. Information you submit through the Platform, such as your intake and eligibility form answers, remains subject to our Privacy Policy and is not Content for purposes of this Section.
8Third-Party Content and Links
The Platform may contain links to, or content or information from, third-party websites or services, including a Client’s own website. We do not control and are not responsible for the content, accuracy, or practices of any third-party website or service, and a link does not imply our endorsement of it. You access any third-party website or service at your own risk and subject to that third party’s own terms and privacy practices.
9Suspension and Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, including where we believe in good faith that you have violated these Terms, provided false or misleading information, or used the Platform in a way that could harm Jaspari Studies, a Client, another individual, or the integrity of the Platform. You may stop using the Platform at any time. You may request that we delete the personal information associated with your use of the Platform by contacting us as described in our Privacy Policy. Sections 1, 2, and 7 through 16 of these Terms survive any termination of your use of the Platform.
10Disclaimer of warranties
The Platform and its Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Jaspari Studies disclaims all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Jaspari Studies does not warrant that the Platform will be uninterrupted, timely, secure, or error free, or that any information on the Platform, including information about any study’s availability or eligibility criteria, is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you.
11Limitation of liability
To the fullest extent permitted by applicable law, Jaspari Studies will not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or loss of opportunity, arising out of or relating to your use of, or inability to use, the Platform, any referral made through the Platform, or your participation or non-participation in any study, even if Jaspari Studies has been advised of the possibility of such damages. The Platform is provided to you free of charge, and subjects do not pay Jaspari Studies to use the Platform; accordingly, Jaspari Studies’s total liability to you for any claim arising out of or relating to these Terms or the Platform will not exceed zero dollars ($0). Because some jurisdictions do not allow the exclusion or limitation of certain damages, some of the foregoing limitations may not apply to you, in which case Jaspari Studies’s liability will be limited to the fullest extent permitted by applicable law. Nothing in this Section 11 limits any liability that cannot be limited or excluded under applicable law.
12Indemnification
You agree to indemnify, defend, and hold harmless Jaspari LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your breach of these Terms, your violation of applicable law, or information you submit through the Platform about yourself or another person, except to the extent caused by Jaspari Studies’s gross negligence or willful misconduct.
13Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide notice by updating the "Last Updated" date above and, where appropriate, through the Platform or by other reasonable means. Your continued use of the Platform after a change becomes effective constitutes your acceptance of the updated Terms. If you do not agree to a change, you must stop using the Platform.
14Governing Law
These Terms are governed by, and will be construed in accordance with, the laws of the State of Delaware, without regard to its conflict of laws principles.
15Dispute Resolution and Arbitration
You and Jaspari Studies agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved by binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be administered in the State of Delaware by a single arbitrator. You and Jaspari Studies each waive any right to a jury trial and to participate in a class action, class arbitration, or other representative proceeding, and any claim must be brought in an individual capacity only. Each party will bear its own costs of arbitration except as the arbitrator may otherwise award. If applicable law in your jurisdiction prohibits mandatory arbitration or a class action waiver as applied to you, this Section 15 will not apply to you to that extent, and the applicable portion of Section 14 will govern instead.
16General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. No failure or delay by Jaspari Studies in exercising any right under these Terms will operate as a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of some or all of our assets. Nothing in these Terms creates any partnership, joint venture, or agency relationship between you and Jaspari Studies. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jaspari Studies regarding your use of the Platform and supersede any prior agreements or understandings on that subject.
