Jaspari operates a healthcare recommendation engine designed to help you make smarter, faster, and more efficient decisions across your healthcare journey — including prescription drug options, physicians and care providers, wearable health devices, insurance plans, and clinical research opportunities.

We are not a healthcare provider, pharmacy, or insurance broker.

Nothing on the Services is intended to be, and must not be taken to be, the practice of medicine, medical advice, diagnosis, or treatment. Drug information, provider listings, device comparisons, plan details, and clinical study listings are provided for general informational purposes only. Always consult a qualified healthcare provider or pharmacist regarding medical conditions, treatments, or medication changes. 3. Pricing & Insurance Plan Estimates

The drug prices, insurance premiums, subsidies, and out-of-pocket estimates displayed on Jaspari reflect our independent analysis and are intended to give you a useful general benchmark. While we strive for accuracy, we do not guarantee real-time precision.

Actual costs at the pharmacy counter or finalized premiums from an insurance provider may differ based on your specific location, exact dosage, chosen pharmacy, formulation, and real-time market fluctuations. Any reliance on the estimated pricing or plan details provided by the Services is strictly at your own risk. For binding coverage decisions, you must speak directly with a licensed insurance professional or the respective insurance carrier.

4. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, proprietary pricing algorithms, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and utilize the Content solely for your personal, non-commercial use.

7. Clinical Study Listings & Third-Party Content

Jaspari aggregates information about third-party clinical research studies. We are not a sponsor of any trial, nor do we conduct medical research. The compensation amounts, eligibility criteria, and study details listed on Jaspari are provided by third-party sponsors and are subject to change without notice.

The Services may contain links to other websites ("Third-Party Websites") and third-party content. Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us. If you decide to leave the Services and access Third-Party Websites, you do so at your own risk. Inclusion of or linking to any Third-Party Websites does not imply approval or endorsement by us.

8. Employer & B2B Services

Jaspari offers tools for employers and benefits administrators to facilitate healthcare pricing transparency for their workforces. When a company engages with Jaspari through our employer portal, that relationship is governed by a separate Master Services Agreement (MSA). However, all individual employees utilizing the Jaspari platform remain governed by these Legal Terms. Employers deploying Jaspari tools do not receive access to individual employee search histories, specific drug queries, or personal health data.

9. Privacy & User Data

We care about data privacy and security. We collect limited information only when you choose to provide it (e.g., submitting a contact form or a clinical trial inquiry). When you submit a form, we temporarily process your IP address to estimate your general location (for pre-filling geographic fields) and to limit spam. We immediately anonymize this IP data; it is not stored in its original format.

We will never sell your personal information to third parties. We only share data with external entities when you explicitly instruct us to make an introduction (e.g., forwarding your information to a clinical study team). By using the Services, you consent to our collection and use of data as outlined in this section.

10. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.

12. Dispute Resolution & Binding Arbitration

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes"), any Dispute brought by either you or us shall be finally and exclusively resolved by binding arbitration.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Except where otherwise required by applicable law, the arbitration will take place in the State of Nebraska.

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

13. Disclaimer of Warranties

The Services are provided on an as-is and as-available basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any websites linked to the Services.

14. Limitations of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages. This includes, without limitation, damages arising from medical decisions or financial choices made in reliance on the informational data provided on the platform.

15. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

16. Electronic Communications & Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

17. California Users and Residents

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions.
